KKR Joins SPAC Party Seeking $1 Billion in Blank-Check Listing

Private equity giant KKR Inc. filed to raise $1 billion via a special purpose acquisition company. KKR Acquisition Holdings I Corp. filed on Thursday with the U.S. Securities and Exchange Commission to sell 100 million units for $10 each. The vehicle will focus on acquisition targets in the consumer or retail industries, according to the prospectus.

Each unit will comprise of one Class A share and one-third of a redeemable warrant. Glenn Murphy, a Lululemon Athletica Inc. board member who isn’t employed by KKR, is the chief executive officer of the blank-check company. Paul Raether, with KKR since 1980, and Paula Campbell Roberts, managing director of global macro and real estate Americas at the private equity firm, are board director nominees. Private equity firms have been active in the SPAC market as both buyers and sellers. Apollo Global Management Inc. has three blank-check companies and has two more on file while TPG has two SPACs under its Pace brand. Citigroup Inc. is the sole adviser on KKR’s listing. KKR Acquisition plans to list on the New York Stock Exchange under the symbol KAHC.U.

Alibaba raises $5bn in Asia's biggest bond sale since May

Alibaba Group raised $5 billion in Asia's largest bond offering in eight months, with the multi-tranche offering priced at a narrower spread than initial price guidance on strong demand, according to persons familiar with the situation. The Jack Ma-controlled e-commerce giant raised $1.5 billion in 10-year notes at 100 basis points over equivalent U.S. Treasuries, $1 billion in the 20-year tranche at 100 points, $1.5 billion in 30-year paper at 120 points and $1 billion in 40-year notes at 130 points, they said. Demand exceeded $30 billion, the same sources said. Initial price guidance for the planned 10-, 20-, 30-and 40-year notes was set at around 130 basis points, 140 basis points, 150 basis points and 160 basis points, respectively, over U.S. Treasuries. Alibaba's offering the biggest by an Asian company since rival Tencent raised $6 billion in May is still smaller than initial plans for an $8 billion raising. It comes a little over a month after China launched an antimonopoly investigation against Alibaba. The offering also follows the company's latest earnings report on Tuesday, in which it posted a forecast-beating 37% year-on-year increase in revenue and 27% rise in profit for the quarter ended December 2020.

Sentiment was boosted after media reports on Wednesday said that Alibaba's affiliate Ant Group had agreed with regulators on an overhaul that will turn it into a financial holding company. Alibaba held cash and short-term investments of almost $70 billion as of Dec. 31, much of it onshore in Chinese renminbi, according to its quarterly earnings statement. Proceeds from the bond offering will be used to repay offshore debt, acquire other companies, and enhance working capital, the company said in a regulatory filing. Two notes worth a combined $1.5 billion are due on Nov. 28, according to Capital IQ. Alibaba also increased its share buyback program from $6 billion to $10 billion in December and has been investing in startups as well as pouring money into expansion at home and abroad to parry mounting competition.

What If the Coronavirus Had Spread Without Detection?

Among those who’ve watched the tragic and needless lockdowns unfold over the last 11 months, a frequent question has come up: what if the coronavirus had spread, but had never been diagnosed or detected? Would life have been any different absent the discovery of what has caused a massive global panic among politicians?

It’s not an unreasonable question. Really, ask yourself what politicians and nail-biting media members would have done 100 years ago if the virus had revealed itself. Since work was a destination for realistically everyone, there’s no way there could have been lockdowns. People would have revolted.

As for deaths, life expectancy was already relatively low in the 1920s. This is relevant when it’s remembered that the coronavirus in a death sense has largely been associated with nursing homes. These homes weren’t very common one hundred years ago, and they weren’t mainly because pneumonia, tuberculosis and other major killers had a tendency to get to us long before we reached old age. Translated, there likely weren’t enough old people in the 1920s for the virus to have had any kind of lethal impact. Due to a lack of old people, the virus perhaps wouldn’t have been discovered in the first place. Think about it.

As this column has long stated, the coronavirus is a rich man’s virus. It’s not just that the rich and generally well-to-do had portable jobs that mostly survived the mindless lockdowns., it’s not just that the break from reality we were forced to endure could have only happened in a rich country, it’s also the case that only in a country and world in which the elderly are truly old would the virus have any notable association with death. People live longer today, and they do because major healthcare advances born of wealth creation made living longer possible. We wouldn’t have noticed this virus 100 years ago. We weren’t rich enough.

Which brings us to a recent article by Leah Rosenbaum at Forbes. She wrote about a NIH paper indicating that almost 17 million coronavirus cases went uncounted last summer. In Rosenbaum’s words, this discovery “suggests the pandemic was much more widespread in the U.S. than previously thought.” Well, of course.

Lest readers forget, the virus began spreading sometime in the fall of 2019, if not sooner. The epicenter is widely thought to have been China, and flights between the U.S. and China, along with flights from China to the rest of the world, were rather numerous right up until 2020.

Considering how connected China was and still is to the rest of the world, logic dictates that the virus was infecting people globally long before politicians panicked. In that case, it’s not surprising that estimates made about the number of infected Americans were always way too low. The virus is said to spread easily, even easier than the flu, and it once again started working its way around the world sometime in 2019.

Notable about its rapid spread is that life went on as it made its way around the world. As the closing months of 2019 make plain, people lived with the virus.

Ghislaine Maxwell files motions to dismiss all counts from criminal case

Ghislaine Maxwell — who has been charged with grooming young girls to have sex with convicted pedophile Jeffrey Epstein — has filed two motions to dismiss all the counts in her criminal case, according to court documents unsealed Thursday.

In the first motion filed on Jan. 25, lawyers for Maxwell argue that counts one through four — which charges the British socialite with conspiracy to entice minors to travel to engage in illegal sex acts — should be dropped because the alleged crimes happened more than two decade ago.

“Because Counts One through Four charge Ms. Maxwell with offenses that were completed no later than 1997, and because the indictment was not returned until July 2020, these counts are time-barred unless ‘otherwise expressly provided by law,'” the filing states.

In a separate filing, her team moved to dismiss the other two counts that charge Maxwell with perjury for allegedly lying she knew nothing about Epstein having sex with underage girls in a civil defamation suit accuser Virginia Giuffre filed against her.

“These counts fail, as a matter of law, because the questions posed were ambiguous, the answers given were true, and both the questions and answers were immaterial to the defamation action. Accordingly, the Court should dismiss Counts Five and Six,” court papers say.

The 59-year-old Maxwell has denied any involvement in trafficking minors for her late pal Epstein, who committed suicide in a Lower Manhattan jail in August 2019 while awaiting trial on sex charges.

Maxwell is currently housed in the Metropolitan Detention Center in Sunset Park, Brooklyn, where she has constantly complained about the conditions in the federal prison.

A friend I’ve referenced in my writings before as “an unemployed tech CEO” (he’s been unemployed since one of his exits about 10 years ago) sent me that link that was making the rounds back in October…

It was purportedly from an anonymous Liberal Party “Strategic Committee” leaker that laid out a plan where the Canadian federal government, in collusion with world governments everywhere, were going to use the Coronavirus pandemic to impose a New World Order, distinctly communist in nature, replacing private property with Universal Basic Income and immunity passports.

I wrote it up at the time pointing out the various holes in the narrative, not the least of which was that it was completely unsourced. You had to decide to believe something like that.

My response to him was:

I saw this months ago and kinda ripped the guy who sent it to me because it sounded very Qanon-ish and just batshit. No sources, no attributions, it could literally be anything. I hate this kind of stuff.

Next thing I know my phone is ringing, and as I plug in my earbuds I hear his thick middle-eastern accent:

Former CIA Counterterror Chief Suggests Going To War Against "Domestic Insurgents"

The former head of the CIA Counterterrorism Center has suggested that counterinsurgency tactics used by the military in Iraq and Afghanistan should be applied to ‘domestic extremists’ inside the US.

NPR reports that Robert Grenier, who directed the CIA’s Counterterrorism program from 2004 to 2006, declared “We may be witnessing the dawn of a sustained wave of violent insurgency within our own country, perpetrated by our own countrymen.”

In an op-ed for The New York Times last week, Grenier suggested that “extremists who seek a social apocalypse … are capable of producing endemic political violence of a sort not seen in this country since Reconstruction.”

Grenier, also a former CIA station chief in Pakistan and Afghanistan, grouped together “the Proud Boys, the Three Percenters, the Oath Keepers, ‘Christian’ national chauvinists, white supremacists and QAnon fantasists” and claimed they are all “committed to violent extremism.” (Do you see yourself in this grouping?)

Grenier labeled dissenters an “insurgency” and called for them to be “defeated” like an enemy army.

In further comments to NPR, Grenier stated that “as in any insurgency situation, you have committed insurgents who are typically a relatively small proportion of the affected population. But what enables them to carry forward their program is a large number of people from whom they can draw tacit support.”

Grenier also stated that insurgents may emerge from groups who “believe that the election was stolen,” or those “who don’t trust NPR or The New York Times.”

“The most violent elements that we are concerned about right now see former President Trump as a broadly popular and charismatic symbol,” the CIA spook added, before comparing Trump to Saddam Hussein.

“You know, just as I saw in the Middle East that the air went out of violent demonstrations when [Iraqi leader] Saddam Hussein was defeated and seen to be defeated, I think the same situation applies here,” he proclaimed.

Grenier suggested that Trump should be convicted at the upcoming impeachment trial as a ‘national security imperative’ because “So long as he is there and leading the resistance, if you will, which he shows every sign of intending to do, he is going to be an inspiration to very violent people.”

Grenier then compared Americans to Al Qaeda and the Taliban, noting that in Afghanistan “the thrust of our campaign there was, yes, to hunt down al-Qaida, but primarily to remove the supportive environment in which they were able to live and to flourish. And that meant fighting the Taliban.”

“I think that is the heart of what we need to deal with here,” he added.

Linking to Grenier’s comments, journalist Glenn Greenwald quipped that wedding guests throughout America should watch out for drone missiles:

The call to treat Americans as terrorist insurgents comes on the heels of a Department of Homeland Security warning that those dissatisfied with the election result may rise up and commit acts of terrorism in the coming weeks.

“Information suggests that some ideologically-motivated violent extremists with objections to the exercise of governmental authority and the presidential transition, as well as other perceived grievances fueled by false narratives, could continue to mobilize to incite or commit violence,” stated the bulletin issued last week through the DHS National Terrorist Advisory System — or NTAS.

The bulletin added that ‘extremists’ may be “motivated by a range of issues, including anger over COVID-19 restrictions, the 2020 election results, and police use of force.”

Exclusive: Special Forces Warned Against Using Pepe the Frog, III%ers, Other ‘Extremist’ Symbols

An Army commander recently briefed U.S. Special Forces candidates and trainees they could be detained or chaptered out of the Army if they are found affiliated with certain imagery popular on the political right that is now considered to be associated with extremism, Breitbart News can exclusively reveal.

The briefing, by Army Col. Mike Henry, MD, deputy commander of Special Warfare Medical Group (Airborne)/Joint Special Operations Medical Training Center at the U.S. John F. Kennedy Special Warfare Center and School (JFKSWCS) at Fort Bragg, came two days after President Joe Biden was inaugurated, a source familiar with the briefing said.

Henry is responsible for training over 2,500 Army and Navy Special Operations medics.

Around the time of the briefing, slides from the New York Police Department Intelligence Bureau were also posted around the Joint Special Operations Medical Training Center (JSOMTC) and distributed to soldiers. The slides, dated January 14, listed and described about two dozen symbols, ideologies, and memes considered to be “associated with or appropriated by domestic violent extremism.”

The slides said:

Recent high-profile mass-casualty attacks in the West have demonstrated the enduring threat posed by a wide range of racially/ethnically motivated violent extremists and conspiracy-driven malicious actors, including those inspired by far-right, neo-Nazis, and white supremacist worldviews. Due to his concerning trend, NYPD Intelligence Bureau advises law enforcement to maintain awareness of key symbols, icons, and graphics associated with or appropriated by domestic violent extremist movements that — in some cases — were observed during the January 6 deadly and destructive riot at the US Capitol.

Soldiers were told the list came from the Department of Homeland Security and was an updated list of what federal and local law enforcement need to be “on the lookout for,” according to the source.

Henry “told us that if anyone gets caught wearing, buying, selling, affiliated with in any way, any of those things on those list, that the first thing he’s going to do is chapter us out of the Army. The second thing is, he’s going to handle the investigation by sending it over to the DHS,” the source said. “He didn’t quite outright say that we would be arrested, he used the word ‘detained.'”

Some of the imagery on the slides clearly refer to hate symbols, such as a swastika or other Nazi-related symbols. However, also included is “Pepe the Frog” — an internet meme frequently posted by members of the political right to troll the political left. The slides, obtained by Breitbart News, said this about the meme:

While not originally meant as a hate symbol, Pepe the Frog, or the ‘sad frog meme’ was appropriated by users who post racist, anti Semitic, anti-LGBT, and other bigoted content. Individuals will also alter Pepe the Frog to show him in various costumes or as recognizable hate figures, such as Hitler.

Hannity vs Jordan on MT Greene renouncing previous beliefs in Q "conspiracy theory"

Hannity as usual took the low road: focused on expressing his disgust for "conspiracy theories" (thereby distancing himself from them, so he doesn't look bad).

Jordan not only took the high road but offered a much more perceptive analysis. Pointing out the real danger in stripping Greene of her cmte assignments: it's a terrible example of cancel culture:

"Who's next?…Who will the cancel culture attack next?"

(Greene did renounce Qanon "belief system" in her speech today - on the basis that it's a mix of truth and error . True enough - if it's really a belief system. Maybe that why she called it that, i'd renounce as a belief system, too.)

Observation: The United States Supreme Court has scheduled the Pennsylvania election case, Sidney’s Michigan election case, and my Georgia election case for its February 19 conference.

There are no coincidences.

Who knows what they will do? We shall see. Be patient.

I do know this: (1) We are still a nation of laws and the buck stops with the United States Supreme Court; (2) Laws on federal elections conducted by a state can ONLY be set by the state legislature (not the Secretary of State in a consent agreement with the Democratic Party, Brad Raffensperger); and (3) the biggie (under existing federal law) - the ONLY votes in a Presidential election that can be lawfully counted are the ballots cast ON Election Day (you cannot open absentee ballots early, Brad - GA state law passed by legislature ONLY allows absentee ballots to be opened ON Election Day).

I have believed in the rule of law for 43 years. I hope that after the final decisions are made in the 3 cases above, my belief will be vindicated.

February promises to be a very interesting month.

We can ALL agree that I have been brutally honest about my feelings concerning the evidence of serious crimes that may have been committed by former Vice-President Mike Pence, Chief Justice John Roberts, GA Governor Brian Kemp, and GA Secretary of State Brad Raffensperger (and many others around the nation).

I have shared some of the evidence with you. The evidence is credible and compelling in my opinion based on my 43 years as a trial lawyer. I suspect that these four officials (and many others) are very troubled these days.

I want you to know that I pray for them. I would ask that you do also.

Jesus teaches us to love ALL and forgive ALL.

But never forget that our Almighty God is a God of love and a God of Wrath. God is also a God of justice and righteousness.

I love the fresh air of liberty. I love My Followers. I love God.

P.S. I also love Donald J. Trump and look so forward to the next four years with him as our President. Remember - he won in an historic landslide on November 3, 2020 based on the votes from the ballots cast and opened ON Election Day. If you don’t believe me, check with the United States Military. I bet they know the answer (and the vote count).
