An FX swap agreement is a contract in which one party borrows one currency from, and simultaneously lends another to, the second party. Each party uses the repayment obligation to its counterparty as collateral and the amount of repayment is fixed at the FX forward rate as of the start of the contract. Thus, FX swaps can be viewed as FX risk-free collateralised borrowing/lending. The chart below illustrates the fund flows involved in a euro/US dollar swap as an example. At the start of the contract, A borrows X·S USD from, and lends X EUR to, B, where S is the FX spot rate. When the contract expires, A returns X·F USD to B, and B returns X EUR to A, where F is the FX forward rate as of the start.

FX swaps have been employed to raise foreign currencies, both for financial institutions and their customers, including exporters and importers, as well as institutional investors who wish to hedge their positions. They are also frequently used for speculative trading, typically by combining two offsetting positions with different original maturities. FX swaps are most liquid at terms shorter than one year, but transactions with longer maturities have been increasing in recent years. For comprehensive data on recent developments in turnover and outstanding in FX swaps and crosscurrency swaps, see BIS (2007).

A cross-currency basis swap agreement is a contract in which one party borrows one currency from another party and simultaneously lends the same value, at current spot rates, of a second currency to that party. The parties involved in basis swaps tend to be financial institutions, either acting on their own or as agents for non-financial corporations. The chart below illustrates the flow of funds involved in a euro/US dollar swap. At the start of the contract, A borrows X·S USD from, and lends X EUR to, B. During the contract term, A receives EUR 3M Libor α from, and pays USD 3M Libor to, B every three months, where α is the price of the basis swap, agreed upon by the counterparties at the start of the contract. When the contract expires, A returns X·S USD to B, and B returns X EUR to A, where S is the same FX spot rate as of the start of the contract. Though the structure of cross-currency basis swaps differs from FX swaps, the former basically serve the same economic purpose as the latter, except for the exchange of floating rates during the contract term.

Cross-currency basis swaps have been employed to fund foreign currency investments, both by financial institutions and their customers, including multinational corporations engaged in foreign direct investment. They have also been used as a tool for converting currencies of liabilities, particularly by issuers of bonds denominated in foreign currencies. Mirroring the tenor of the transactions they are meant to fund, most cross-currency basis swaps are long-term, generally ranging between one and 30 years in maturity.

Prior to the turn of the century, the Fourth Circuit Court of Appeals handed down a formative decision that helped craft the contours of Section 230 immunity. The case — Zeran v. America Online — dealt with a tricky question: whether or not a platform’s failure to moderate content (in this case, posts that contained Zeran’s phone number and oblique accusations he approved of the Oklahoma City federal building bombing) made the platform liable for the user-generated content.

The Appeals Court didn’t have much to work with at that point. Section 230 of the Communications Decency Act was less than a year old at the time Kenneth Zeran filed his lawsuit against AOL. Nevertheless, the court recognized AOL’s immunity from the suit. And it did this by applying the new CDA clause retroactively to apply to alleged wrongs against Zeran that were committed nearly a year before the CDA went into effect.

Flash-forward more than a quarter century, and the Fourth Circuit Court of Appeals has delivered another potentially groundbreaking decision [PDF], albeit one that goes the other direction to hold a website directly responsible for content posted by others.

In this case, the plaintiffs and their class action lawsuit sought to hold Public Data, LLC directly responsible for content it gathers from other sources and republishes on its own platforms. The data collected by Public Data (the name the court uses to collectively refer to the multiple parties collecting and disseminating this data) comes from public records. This includes civil and criminal court proceedings, voting records, driver data, professional licensing information, and anything else generated by government agencies Public Data can hoover up.

It then consolidates the data to make it more user-friendly, reformatting raw documents to deliver snapshots of people Public Data’s customers wish to obtain info about. The plaintiffs allege this process often removes exonerative data about criminal charges and reduces criminal background info to little more than a list of charges (with no data on whether these charges resulted in a conviction). Making things worse, Public Data’s summaries apparently include “glib statements” that misrepresent the entirety of the data collected from public sources. Public Data makes it clear to users that it is not responsible for any inaccuracies in the raw data it collects and collates. It also refuses to correct incorrect data or remove any inaccurate information it has scraped from public records databases.

The value of this information — no matter how inaccurate or incomplete — is undeniable. The plaintiffs note that Public Data has nearly 50 million customers. And presumably few of those customers take the repackaging of scraped data — with or without Public Data’s commentary — with a grain of salt, despite the cautionary statements issued by Public Data.

This all sounds like the collection and republication of data generated by third-parties. What is or isn’t passed onto users sounds pretty much like content moderation, something that’s not only protected by Section 230 immunity, but the First Amendment as well. Since those are the most obvious impediments to the lawsuit, the plaintiffs have chosen to frame this repackaging of data (and Public Data’s editorial decisions) as violations of the Fair Credit Reporting Act (FCRA).

The Appeals Court should have recognized this tactic for what it was. Instead, it decides the acts the lawsuit is predicated on are somehow exempt from Section 230 immunity. Eric Goldman, who has a long history of covering Section 230 cases and advocating for its continued existence, saw this disturbing decision coming a long time ago, back when the lower court decided Section 230 immunity applied but did so in a way that invited novel interpretations of this protection…

Netherlands to close up to 3,000 farms to comply with EU rules

The Dutch government plans to buy and close down up to 3,000 farms near environmentally sensitive areas to comply with EU nature preservation rules.

The Netherlands is attempting to cut down its nitrogen pollution and will push ahead with compulsory purchases if not enough farms take up the offer voluntarily. 

Farmers will be offered a deal “well over” the worth of the farm, according to the government plan that is targeting the closure of 2,000 to 3,000 farms or other major polluting businesses.

Earlier leaked versions of the plan put the figure at 120 per cent of the farm’s value but that figure has not yet been confirmed by ministers.

Derivatives can be incredibly risky for investors. Potential risks include:

Counterparty risk. The chance that the other party in an agreement will default can run high with derivatives, particularly when they’re traded over-the-counter. This commonly occurs with interest rates, currencies, commodities and credit defaults, the last of which gained notoriety during the 2007-2008 housing market collapse, when they were overleveraged and caused a major chain reaction of default.

The exact way swaps play out depends on the financial asset being exchanged. For the sake of simplicity, let’s say a company enters into a contract to exchange a variable rate loan for a fixed-rate loan with another company. The company getting rid of its variable rate loan is hoping to protect itself from the risk that rates rise exponentially.

The company offering the fixed rate loan, meanwhile, is making a bet that its fixed rate will earn it a profit and cover any rate increases that come from the variable rate loan. If rates go down from where they currently are, all the better.

Swaps carry a high counterparty risk and are generally only available OTC to financial institutions and companies, rather than individual investors.

‘Operation Bronze Griffin’: House GOP report says Facebook giving FBI ‘partisan’ tips

WASHINGTON — The FBI has a politically one-sided surveillance partnership with Facebook under the apparent name Operation Bronze Griffin, according to a bombshell report released Friday by Republicans on the House Judiciary Committee.

The 1,050-page report broadly outlines the FBI’s alleged pro-Democrat political bias — just days after revelations of a secret Facebook portal through which authorities can request the deletion of alleged “misinformation” from the world’s top social media platform.

“As part of a program likely codenamed ‘Operation Bronze Griffin,’ the FBI allegedly accepts private user information from Facebook, but without the user’s consent or the legal process the FBI would otherwise need to independently pursue such user-related information,” the report says.

“Furthermore, according to whistleblower information, the types of user content that Facebook provides have a partisan focus, tending only to concern users from one side of the political spectrum,” the document continues.

“The FBI’s willingness to accept this political speech information from Facebook — outside of routine investigative pathways — further threatens Americans’ constitutional rights.”

The FBI would not confirm or deny the existence of Operation Bronze Griffin, but denied being politically biased.

“Put quite simply: we follow the facts without regard for politics,” an FBI spokesperson told The Post. “While outside opinions and criticism often come with the job, we will continue to follow the facts wherever they lead, do things by the book, and speak through our work.”

Facebook spokesman Andy Stone, a former Democratic staffer who announced Facebook’s 2020 plans to reduce distribution of The Post’s scoops on documents from Hunter Biden’s laptop, also declined to confirm or deny the existence of Operation Bronze Griffin.

“On whether [Operation Bronze Griffin] exists, I’d refer you to the FBI,” Stone said before adding: “Any suggestion we seek out peoples’ private information on a partisan basis to provide it to the FBI is false and there is zero evidence to support it.”

The allegation comes on the heels of a Monday report by The Intercept that exposed an online gateway through which authorities with a government or law enforcement email address reportedly can request the removal of “misinformation” from Facebook or Instagram.

Japanese billionaire Yusaku Maezawa said on Monday that he plans to make a “big announcement” after an online meeting SpaceX owner Elon Musk.

What Happened: Maezawa, the founder of online fashion site Zozo Inc, tweeted that he intends to make the big announcement on space on Dec. 9.

Antaris recently open sourced its SatOS Payload Software Development Kit (SDK), which enables users of the platform to effectively integrate payloads into SatOS-powered satellites. Additionally, Antaris released the go-satcom library to help the broader space community work with open space communications protocols.

Payload and subsystem technology providers including AICRAFT, Netra, Morpheus Space, SayariLabs Kenya, SpeQtral, Transcelestial and Zero-Error Systems (ZES) will perform internet of things (IoT) communications, advanced experimental laser communications, radio communications and machine learning (ML) inference during orbit. A virtual twin of JANUS-1 running on Antaris TrueTwin™ technology is functional today, and the physical satellite is expected to launch into orbit from the Satish Dhawan Space Centre of India under a commercial arrangement with NewSpace India Limited (NSIL), the commercial arm of Indian Space Research organization (ISRO).
