Credit Suisse offers big blocks of Discovery, iQIYI shares related to Archegos

Credit Suisse put large blocks of shares in media company Discovery Inc and iQIYI Inc on the market after regular trading ended on Tuesday, multiple sources said, as the bank continued unwinding positions related to last month’s meltdown of Archegos Capital.

Credit Suisse has not yet finished unwinding its Archegos positions, said one source familiar with the matter. The bank has taken a $4.7 billion hit from dealings with Archegos Capital, prompting it to overhaul the leadership of its investment bank and risk divisions. Shares in Discovery and IQIYI fell in U.S. afterhours trading after news the offers, which were pitched below the stocks’ closing prices. The bank put 19 million class A shares and 22 million class C shares of Discovery on the market as well as 35 million U.S.-listed shares of iQIYI, a China-based online entertainment company, shortly after the close according to two market sources. CNBC first reported the share offer. The sources said the pricing range for the offer of Discovery class A shares was $38.40-$39.60 compared with a $40.38 closing price in the regular session. DISCA fell 3.7% in after hours trading. Credit Suisse offered the Discovery C shares with a $32.35-$33.75 price range compared with its $34.78 closing price. The DISCK C shares fell more than 5% in after hours trading.

It offered the iQIYI shares $15.85-$16.35 after it closed at $16.66, sending that stock down 3.4% in after the bell trading.

Japan to start releasing Fukushima water into sea in 2 years

TOKYO — Japan’s government announced Tuesday it would start releasing treated radioactive water from the wrecked Fukushima nuclear plant into the Pacific Ocean in two years. It’s a move that’s fiercely opposed by fishermen, residents and Japan’s neighbors.

The decision, long speculated at but delayed for years because of safety worries and protests, came during a meeting of Cabinet ministers who endorsed the ocean release as the best option.

China's Ministry of Foreign Affairs expressed "grave concern" on the morning of April 13 over the Japanese government's decision to release into the sea treated radioactive wastewater from Tokyo Electric Power Company Holdings Inc.'s Fukushima Daiichi Nuclear Power Station, the site of a meltdown following the March 2011 Great East Japan Earthquake and tsunami.

In an April 13 statement, China criticized the Japanese government, saying, "Japan has unilaterally decided to release Fukushima nuclear wastewater into the sea before exhausting all safe ways of disposal and without fully consulting with neighboring countries and the international community."

It also added: "The oceans are mankind's shared property. How the wastewater from the Fukushima nuclear power plant is handled is not merely a domestic issue for Japan. We strongly urge the Japanese side to face up to its responsibility, follow the science, fulfill its international obligations and duly respond to the serious concerns of the international community, neighboring countries and its own people."

Ahead of the Japanese government making the decision, China's foreign ministry spokesperson had said on April 12, "To safeguard international public interests and Chinese people's health and safety, China has expressed grave concern to the Japanese side through the diplomatic channel."

22 Republican State Attorneys General Argue Congress Making D.C. a State Is Unconstitutional

Twenty-two Republican Attorneys General wrote a letter to Congress and the Biden administration, contending Washington, D.C. cannot become a state through legislation but only through a Constitutional amendment.

“If this Congress passes and President Biden signs this Act into law, we will use every legal tool at our disposal to defend the United States Constitution and the rights of our states from this unlawful effort to provide statehood to the District of Columbia,” Fox News reported.

“Accordingly, not only does Congress lack the authority to create an entirely new state out of the District, but it also does not have the authority to reduce the size of the District to the equivalent of a few federal buildings and surrounding parks,” the letter concluded.

The letter comes as Delegate Eleanor Holmes Norton (D-DC) has introduced H.R. 51 to shrink the district while transitioning the vacated area into a state, dubbed the “State of Washington, Douglass Commonwealth.”

Republicans regard D.C. statehood as a naked power grab, and many legal scholars are confident the Supreme Court would strike down D.C. statehood as unconstitutional for the reasons these authorities have set forth over the years.

For instance, the Office of Legal Council in 2007 said it was unconstitutional when Democrats attempted to give D.C. voting power in Congress without making it a full state. The Justice Department of former President Carter and former President Reagan believed the conversion of Washington D.C. into a state was unconstitutional, along with Attorney General Robert F. Kennedy—a Democrat—who also said in 1963 a similar proposal was unconstitutional.

Moreover, Supreme Court Justice Antonin Scalia, when he was sitting on the D.C. Circuit Court of Appeals, opposed such a measure, saying, “It is … fanciful to consider as ‘politically powerless’ a city whose residents include a high proportion of the officers of all three branches of the federal government and their staffs.”

The Heritage Foundation also points to three arguments against H.R. 51:

Our nation’s capital was always meant to be unique. The founders wanted it to be a federal district, existing beyond the confines or influence of any one state.

H.R. 51 would require Congress to ignore the plain command of the 23rd Amendment.

Even those who support D.C. statehood admit district residents enjoy special benefits due to where they live and would enjoy an outsize influence in Congress.

The bill will be considered Wednesday in a House Oversight Committee hearing before a potential House vote the following week. 215 Democrat members have co-sponsored the bill.

The states which joined the letter were South Carolina, Georgia, Louisiana, South Dakota, North Dakota, Texas, Utah, Florida, Alabama, Missouri, Indiana, Arkansas, Montana, Nebraska, Ohio, Kentucky, Mississippi, West Virginia, Idaho, Kansas, Arizona, and Oklahoma.

Hong Kong Epoch Times Vows to Never Give Up After Attack on Printing Press

April 13, 2021

A day after a violent attack at the printing press of the Hong Kong edition of The Epoch Times, the outlet said it would never give in to intimidation, pressure, or sabotage attempts by the Chinese Communist Party (CCP), at a press conference in Washington on April 13.

In the early hours of Monday, four men broke into the printing warehouse of the Hong Kong edition of The Epoch Times. The perpetrators smashed printing equipment with sledgehammers and tossed construction debris on it before fleeing the scene in a white van. They threatened the staff onsite not to do anything that would compel them to take action.

The printing plant suffered extensive damage from the assault, which affected multiple computers, the transmitter, and a computer, and forced the Hong Kong edition to suspend printing for the time being.

June Guo, the director of the Hong Kong edition of The Epoch Times, said the attack was the latest in a long line of actions aimed at crippling the outlet.

“The Chinese Communist Party has used every trick in the book to suppress The Epoch Times in Hong Kong in an attempt to prevent the city’s people from getting independent news,” Guo said. “The Epoch Times is one of the few remaining voices in the Hong Kong media landscape that does not bend to the CCP.”

In November 2019, during the height of the mass pro-democracy protests in the city, four masked men broke into the same printing facility and set fire to the equipment. The arson resulted in an estimated damage of $40,000. The printing press has been targeted three other times since its founding in 2006.

While The Epoch Times Hong Kong will increase security measures, that in itself is not enough to counter the effect of declining press freedom, Guo said…

ERCOT Urges Texans To Conserve Power As Another Cold Blast Sparks Grid 'Emergency'

Texas' power grid operator, Electric Reliability Council of Texas (ERCOT), which came under immense pressure months ago for mishandling the historic winter storm in mid-February, urged customers Tuesday afternoon to "reduce their electricity use" as a cold front swept through, causing power demand to spike. ERCOT told customers to please "conserve energy at this time. Consumers and businesses are urged to reduce their electricity use this afternoon and into the evening."

Texas' power grid operator also said: "Due to a combination of high gen outages typical in April & higher-than-forecasted demand caused by a stalled cold front over TX, ERCOT may enter emergency conditions.

With a cold front moving through the Lone Star state some generation units were already down for repair work. Bloomberg reports one spot price for Texas power jumped as much as 3,300% on Tuesday.

In particular, the average spot at ERCOT's North Hub jumped more than 3,300% to $656.45 a megawatt-hour this afternoon. Spot prices briefly surged to $900 in areas.

The grid has seen tight supply conditions as below-average temperatures pour into the state this week. So far, "We do not expect customer outages. Declaring an emergency would allow us to access additional resources," ERCOT said.

On Twitter users said: "Let me get this straight — you nearly killed millions of Texans because of poor resource management and being woefully unprepared in February and suddenly you need us to conserve electricity because we are in to 50s??? How are any of you still in charge of our energy???"

Another said, "I've already heard neighbors say they have lost power for a few minutes here and there. They were already testing their system, whatever that is." "Those low 60s! Can't expect @ERCOT_ISO to handle that kind of a cold snap," a user said.

Coinbase reference price for listing is set at US$250 by Nasdaq

The Nasdaq set a reference price of US$250 for the direct listing of Coinbase Global Inc., the cryptocurrency exchange that will start trading Wednesday via a direct listing. The exchange disclosed the price in a statement Tuesday.

Setting a reference price is a requirement for trading in the stock to begin. Unlike the share price in a standard IPO, it isn’t a direct indicator of the company’s potential market capitalization. Investors will have a better sense of valuation when shares start trading Wednesday.

Coinbase shares changed hands at a roughly US$90 billion value in early March, Bloomberg News reported at the time, in what was one of the last chances for investors to trade its private stock before the company goes public. That valuation was based on US$350 a share, the price the stock was trading at on the Nasdaq Private Market auction.

The offering will be the first major direct listing, an alternative to a traditional IPO, to take place on the Nasdaq. All such previous listings were on the New York Stock Exchange, including those by Roblox Corp., Spotify Technology SA, Slack Technologies Inc., Asana Inc. and Palantir Technologies Inc.

Chief Executive Officer Brian Armstrong started Coinbase with Fred Ehrsam in 2012, at a time when few people had even heard of Bitcoin, and many crypto exchanges were run by amateurs from their garages and homes. Unlike most rivals, Coinbase’s founders envisioned strict regulatory compliance as a cornerstone of the operation, which has helped the exchange to grow in the U.S., where many early Bitcoin traders and investors were located.

Toshiba president to step down on Wed.

Sources say the president of Japanese industrial conglomerate Toshiba intends to resign only days after the firm received a buyout offer from an equity fund.

Unnamed sources say President and Chief Executive Officer Kurumatani Nobuaki is expected to tender his resignation at a board meeting on Wednesday. Kurumatani reportedly told people close to him that he is stepping down because he accomplished his mission of putting Toshiba back on the Tokyo Stock Exchange's First Section in January after restructuring the business. The reports of his planned resignation came shortly after British-based CVC Capital Partners proposed the buyout deal on April 6. The fund plans to acquire a majority of Toshiba shares to take the company private so the management would be free from the influence of activist shareholders who are at odds with Kurumatani.

But some board members are skeptical about the motive of the buyout, because Kurumatani was a former head of CVC's Japan operations.

Wall Street, Corporations Team Up with Soros-Funded Group to Pressure States Against Election Reforms

Wall Street firms, multinational corporations, and giant law firms are teaming up with the Brennan Justice Center, which is heavily funded by billionaire George Soros, to pressure states against reforms to their election process.

After Georgia lawmakers passed sweeping reform legislation to protect the state’s elections, including requiring photo identification to vote, corporate executives have blasted the move and many are suggesting they will boycott the state by moving business elsewhere.

Now, Fortune 500 corporate executives, Wall Street firms, and attorneys at some of the nation’s largest law offices are reportedly working with the left-wing Brennan Justice Center to pressure state lawmakers from passing similar election reforms.

The corporate coalition is seeking to sue states for passing such reforms while also threatening to pull their business endeavors from states that do pass reforms.

The New York Times reports:

Many of Wall Street’s most powerful firms are also part of the effort, including Simpson Thacher; Skadden Arps; Akin Gump; Cravath, Swaine & Moore; Ropes & Gray Sullivan & Cromwell; Weil, Gotshal & Manges and Wachtel Lipton. [Emphasis added]

“We plan to challenge any election law that would impose unnecessary barriers on the right to vote and that would disenfranchise underrepresented groups in our country,” Mr. Karp said. [Emphasis added]

The firms will work with the Brennan Center for Justice, a nonprofit organization, to identify laws that it might challenge in court. Mr. Karp said that could include challenging the voting law that Republicans passed in Georgia last month, and which set off a national debate over voting rights. [Emphasis added]

Over the weekend, more than 100 corporate executives discussed in a meeting the importance for them of publicly opposing election reform legislation like Georgia’s. The meeting included executives from credit card company American Express, pharmaceutical company Merck & Co., and clothing company Levi Strauss & Co., among others.

Rep. Jim Banks (R-IN), head of the Republican Study Committee (RSC), has been lobbying GOP leaders to cut ties with corporations and Wall Street in favor of protecting working and middle class interests against the encroachment of concentrated corporate power.

The Brennan Justice Center is targeting state lawmakers in Georgia, Texas, New Hampshire, Florida, Michigan, and Arizona whom they claim are promoting “voter suppressive bills” with provisions that require voter ID for those voting via absentee ballot, prohibiting the mass unsolicited mailout of ballots, and increasing fines for state officials who refuse to clean up voter rolls.

The group rakes in millions every year from Soros, corporate interests, big banks, and other left-wing organizations. In 2019, the last year for which financial data is available, the Brennan Justice Center’s most high-profile donors included Soros’s Open Society Foundation, the Ford Foundation, Bank of America, the Tides Foundation, Paul, Weiss, Rifkind, Wharton & Garrison LLP, PayPal, JPMorgan Chase, Microsoft, PepsiCo, and Comcast NBCUniversal.

Consider the concluding paragraph(s) of the 5-4 decision in which the conservative majority struck down, yet again, the infamous Ninth Circuit’s decisions upholding California Gov. Gavin Newsom’s regulatory monstrosity of COVID-19 lockdown measures against religious assembly:

This is the fifth time the Court has summarily rejected the Ninth Circuit’s analysis of California’s COVID restrictions on religious exercise. See Harvest Rock Church v. Newsom, 592 U. S. _ (2020); South Bay, 592 U. S. _; Gish v. Newsom, 592 U. S. _ (2021); Gateway City, 592 U. S. _.

It is unsurprising that such litigants are entitled to relief. California’s Blueprint System contains myriad exceptions and accommodations for comparable activities, thus requiring the application of strict scrutiny.

And historically, strict scrutiny requires the State to further ‘interests of the highest order’ by means ‘narrowly tailored in pursuit of those interests.’ Church of Lukumi Babalu Aye, Inc. v. Hialeah, 508 U. S. 520, 546 (1993) (internal quotation marks omitted). That standard ‘is not watered down’; it ‘really means what it says.’” Ibid. (quotation altered).

That is about as decisive a repudiation as the justices could express short of something along the lines of “Read Our Lips: The First Amendment means what it says about religious freedom. And so do we! You got it?”

The same impatience is clear throughout the decision, beginning with the first paragraph of the decision’s analysis: “The Ninth Circuit’s failure to grant an injunction pending appeal was erroneous. This Court’s decisions have made the following points clear.”

The majority then walked the Ninth Circuit through a Constitution 101 explanation of what the lower court should not require being reminded:

“First, government regulations are not neutral and generally applicable, and therefore trigger strict scrutiny under the Free Exercise Clause, whenever they treat any comparable secular activity more favorably than religious exercise … It is no answer that a State treats some comparable secular businesses or other activities as poorly as or even less favorably than the religious exercise at issue.”

In other words, the Free Exercise Clause — that’s the one in the First Amendment that declares “Congress shall make no law respecting an establishment of religion, or prohibiting the free exercise thereof …” — requires a demonstration of strict scrutiny every time government claims it must limit religious exercise. And, oh by the way, you don’t get off the hook for violating religious freedom by treating some other institution as badly or even worse.

Then there is this from the high court’s conservative majority:

“Second, whether two activities are comparable for purposes of the Free Exercise Clause must be judged against the asserted government interest that justifies the regulation at issue … Comparability is concerned with the risks various activities pose, not the reasons why people gather.”

In other words, it should be of no consequence to government what might be the particular nature of the religious assembly — which in this specific case involved home-based Bible studies — because the only permissible issue to consider in comparing activities proposed for regulation is their comparative risks.

Top Trump Admin Official Praises Biden For Adopting ‘Nearly All’ Of His Predecessor’s China Policies

Brooke Rollins, CEO and president of the newly-launched America First Policy Institute (AFPI), commended the Biden administration Tuesday for carrying over key aspects of former President Donald Trump’s general foreign policy and specific approach to China.

Rollins told Daily Caller that “the Trump Administration set and reset policy on our most important foreign relationships in such a compelling fashion that you can even see the Biden Administration beginning to acquiesce to nearly all of it.”

“Despite stumbles out of the gate, you now see his DHS Secretary, for example, discussing building the border wall, and individuals like John Kerry and Tony Blinken grind their teeth at how tough working with China is,” she continued. “Only time will tell whether the Biden Administration is up to meeting the standard of responsible governance that we set.”

Rollins served as Trump’s Domestic Policy Council Director for the majority of his term in office, and her comments came just after she and other former Trump officials formally launched AFPI earlier in the day.

She stated during a press call for the launch that while AFPI clearly believes in Trump’s agenda, the group will reach across the aisle to find compromise on economic, education, labor, national security and other policies that will benefit American workers.

Pressed by Daily Caller on the call to comment on the Biden administration pursuing several Trump-era priorities — including national 5G expansion, incentivizing the re-shoring of manufacturing jobs, and supply chain security — Rollins noted that many of the previous administration’s policies had received bipartisan support. She added that while she did not have a full list of overlapping policies in front of her, she saw encouraging signs in Biden’s first days in office for future potential bipartisanship.

Trump’s former Small Business Administration Administrator Linda McMahon and National Economic Council Director Larry Kudlow will join Rollins as the chair and vice chair of the new non-profit group.

AFPI currently boasts 40 staffers working across 20 different issue centers and a first-year operating budget of $20 million, making it by far the largest group formed by ex-Trump officials to date.

Rollins told press that she plans to double AFPI’s funding over the next year and has designs on opening new offices in Miami, New York City and Washington, D.C.

Over the past year political biases prevented the American medical community from promoting potential treatments like Hydroxychloroquine from treating the coronavirus. Dr. Anthony Fauci, the media, and the American medical community shot down its effectiveness early last year after President Trump promoted the drug. This was despite this proof of its effectiveness in treating the virus.

Today over 232 clinical trials have been published on the effectiveness of hydroxychloroquine on the coronavirus. Using hydroxychloroquine in early treatment, before a patient becomes deathly ill, shows significant improvement according to the studies listed at c19HCQ.com. Yet many doctors still frown on administering the drug to patients as a prophylactic or in early treatment because of Dr. Fauci and the politicized medical community.

On Tuesday Dr. Steven Hatfill, infectious disease expert, told the War Room that the medical bureaucracy blocked an effective treatment in hydroxychloroquine so they could push through experimental vaccines.

Dr. Hatfill told War Room hydroxychloroquine is proven to be effective and costs roughly 60 cents per pill. However, the existence of a proven effective treatment would not have allowed Dr. Fauci and FDA’s Janet Woodcock to expedite covid vaccines.

“You don’t need a vaccine,” Dr. Hatfill said.

“It’s quite evident that Dr. Fauci, Dr. Woodcock, Dr. [Rick] Bright are responsible for hundreds of thousands of America deaths for causing this drug to pick up a bad name,” Dr. Hatfill said.
