The Securities and Exchange Commission today charged Caroline Ellison, the former CEO of Alameda Research, and Zixiao (Gary) Wang, the former Chief Technology Officer of FTX Trading Ltd. (FTX), for their roles in a multiyear scheme to defraud equity investors in FTX, the crypto trading platform co-founded by Samuel Bankman-Fried and Wang. Investigations into other securities law violations and into other entities and persons relating to the alleged misconduct are ongoing.
According to the SEC’s complaint, between 2019 and 2022, Ellison, at the direction of Bankman-Fried, furthered the scheme by manipulating the price of FTT, an FTX-issued exchange crypto security token, by purchasing large quantities on the open market to prop up its price. FTT served as collateral for undisclosed loans by FTX of its customers’ assets to Alameda, a crypto hedge fund owned by Wang and Bankman-Fried and run by Ellison. The complaint alleges that, by manipulating the price of FTT, Bankman-Fried and Ellison caused the valuation of Alameda’s FTT holdings to be inflated, which in turn caused the value of collateral on Alameda’s balance sheet to be overstated, and misled investors about FTX’s risk exposure.
In addition, the complaint alleges that, from at least May 2019 until November 2022, Bankman-Fried raised billions of dollars from investors by falsely touting FTX as a safe crypto asset trading platform with sophisticated risk mitigation measures to protect customer assets and by telling investors that Alameda was just another customer with no special privileges; meanwhile, Bankman-Fried and Wang improperly diverted FTX customer assets to Alameda. The complaint alleges that Ellison and Wang knew or should have known that such statements were false and misleading.
The complaint also alleges that Ellison and Wang were active participants in the scheme to deceive FTX’s investors and engaged in conduct that was critical to its success. The complaint alleges that Wang created FTX’s software code that allowed Alameda to divert FTX customer funds, and Ellison used misappropriated FTX customer funds for Alameda’s trading activity. The complaint further alleges that, even as it became clear that Alameda and FTX could not make customers whole, Bankman-Fried, with the knowledge of Ellison and Wang, directed hundreds of millions of dollars more in FTX customer funds to Alameda.

Until crypto platforms comply with time-tested securities laws, risks to investors will persist. It remains a priority of the SEC to use all of our available tools to bring the industry into compliance."
"As alleged, Mr. Bankman-Fried, Ms. Ellison, and Mr. Wang were active participants in a scheme to conceal material information from FTX investors, including through the efforts of Mr. Bankman-Fried and Ms. Ellison to artificially prop up the value of FTT, which served as collateral for undisclosed loans that Alameda took out from FTX pursuant to its undisclosed, and virtually unlimited, line of credit," said Sanjay Wadhwa, Deputy Director of the SEC’s Division of Enforcement. "By surreptitiously siphoning FTX’s customer funds onto the books of Alameda, defendants hid the very real risks that FTX’s investors and customers faced."
The SEC’s complaint charges Ellison and Wang with violating the anti-fraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934. The SEC’s complaint seeks injunctions against future securities law violations; an injunction that prohibits Ellison and Wang from participating in the issuance, purchase, offer, or sale of any securities, except for their own personal accounts; disgorgement of their ill-gotten gains; a civil penalty; and an officer and director bar. Ellison and Wang have consented to bifurcated settlements, which are subject to court approval, under which they will be permanently enjoined from violating the federal securities laws, the above-described conduct-based injunctions, and officer and director bars. Upon motion of the SEC, the court will determine whether and what amount of disgorgement of ill-gotten gains plus prejudgment interest and/or a civil penalty is appropriate, as well as the length of the officer and director bar and the conduct-based injunction imposed against Wang.
In a parallel action, the U.S. Attorney’s Office for the Southern District of New York today announced charges against Ellison and Wang.
Ellison and Wang are cooperating with the SEC’s ongoing investigation, which is being conducted by Devlin N. Su, Ivan Snyder, and David S. Brown of the Crypto Assets and Cyber Unit and Brian Huchro and Pasha Salimi. It is being supervised by Amy Flaherty Hartman, Michael Brennan, Jorge Tenreiro, and David Hirsch. The SEC’s litigation will be led by Amy Burkart and David D’Addio and supervised by Ladan Stewart and Olivia Choe. Additional assistance to the investigation was provided by Therese Scheuer, Alistaire Bambach, Ainsley Kerr, William Connolly, and Howard Kaplan.

Why the Pope's telescope is in Southern Arizona

TUCSON, Ariz. (KGUN) — It might surprise you to learn that Mt. Graham, near Safford, is home to a telescope operated by the Vatican—and that Tucson is home to an official "seat of the Vatican," where those researchers live and work.
Here's the "Absolutely Arizona" story behind the pope's telescope.
"Officially I think it falls under the category of miscellaneous 'foreign government office.' So, right in Tucson, you have a miscellaneous foreign government office," said Fr. Paul Gabor, Vice Director of the Vatican Observatory.
Gabor is explaining why when you step into a mid-century modern home near the U of A ,you are considered to be in a foreign government office of Vatican City.
A photo of Pope Francis on the wall might be your first clue that this is an official seat of the Vatican. A small chapel off the living room is another strong clue.
But why Tucson, and why the Vatican?
It's actually home to Jesuit priests, like Gabor, who are studying astronomy for the Vatican.
While they live in Tucson, and spend time doing research and teaching at the U of A, they travel to Mt. Graham to do their observations at the VATT: the Vatican Advanced Technology Telescope.
That's right, the Pope's telescope is located in Southeast Arizona.
Why here?
First, you have to understand why the Catholic Church is interested in astronomy.
"Show to the world that clergy can do science."
That's the mission statement put forth in 1891 by Pope Leo XIII. That's also when the Vatican established an observatory to show the world how the Church supports science.
But the telescope wouldn't stay in Vatican City for long.
"This is a story of light pollution and how it persecutes poor astronomers."
In the 1930s, Pope Pius XI relocated the Observatory to Castel Gandolfo, southeast of Rome. Within a few decades, light pollution forced the Vatican to look to the dark skies of Southeast Arizona.
"In collaboration with the University of Arizona we moved here so that we could use the facilities of the university for astronomical observations."
That's how the Vatican Observatory Foundation established a presence east of Tucson on Mt. Graham. By 1993, the Vatican had a telescope of its own, thanks to the U of A's Mirror Lab and a new process of spin casting.
"We actually have the very first mirror made that way, the prototype. We got it simply because it was there and somebody needed to build a telescope around it."
$4 million later and the Vatican Observatory Foundation had the VATT on Mt. Graham, taking advantage of our near-perfect dark sky.
"We hope that not only now, but also in the future, we'll be able to conduct astronomical observations from the site here, and won't need to move somewhere else again," said Gabor.
The 72-inch telescope is about to celebrate 30 years of operation. That's three decades of clergy studying and sharing amazing photos and research data.
Gabor says the Vatican telescope on Mt. Graham is well known by astronomers, but few people in Catholic parishes know about the telescope, and the dozen Jesuit priests doing research.
Soon, the VATT will be going through a major upgrade. The telescope on Mt. Graham will be fully automated in 2024.
"It will be possible to use it for science purposes, for science cases, in the current mode of operation would be very difficult to realize," said Gabor.
Automation will allow for multiple research projects to be done each night, instead of just one, expanding the usefulness of the Vatican telescope.
A telescope with its roots at the Vatican, but that is very much "Absolutely Arizona."

An American couple is facing the death penalty in Uganda after being charged with child trafficking and torturing one of three foster kids from a Christian ministry there in their care.
Nicholas Spencer and wife Mackenzie Leigh Mathias Spencer, both 32, have been in custody since Dec. 9 after neighbors in the capital, Kampala, reported their alleged torture to police.
They moved to the East African nation for humanitarian work in 2017, fostering three children the next year from the Welcome Ministry in Jinja City.
That included the alleged victim, a 10-year-old boy who went to a special needs school and is HIV-positive, according to cops and local media.
In announcing their initial arrest, Ugandan police said the Spencers “constantly tortured” the boy from 2020, “which attracted the attention of neighbors,” who captured some of the incidents in videos.

On Wednesday, in response to the publication of Elon Musk’s Twitter files, the FBI issued a statement in which it accused the journalists behind the Twitter files of being “conspiracy theorists” in order to ‘discredit the agency.’
The FBI has been making a concerted effort to exert control over Twitter, its users, and their information.
The FBI paid Twitter $3.4 million in tax dollars to censor, suspend and harass Twitter users who only wanted to share the truth.
On Wednesday’s episode of America Reports on Fox News, Sandra Smith read the statement from the FBI:
“The correspondence between the FBI and Twitter show nothing more than examples of our traditional, longstanding and ongoing federal government and private sector engagements, which involve numerous companies over multiple sectors and industries. As evidenced in the correspondence, the FBI provides critical information to the private sector in an effort to allow them to protect themselves and their customers. The men and women of the FBI work every day to protect the American public. It is unfortunate that conspiracy theorists and others are feeding the American public misinformation with the sole purpose of attempting to discredit the agency.”

A new federal $1.7 trillion Omnibus Appropriations Bill just dropped, and both parties are rushing to point out its massive over-spending, achievements, and shortcomings.
Representative Dan Bishop (R-N.C.) and his team sifted through the 4,000 pages of the document, finding some of the most egregious examples of poor spending and fiscal mismanagement.
The first and most contentious item is that the bill prevents funding from going toward border security. A Twitter fact-check (now called "Birdwatch") disputed this claim, saying that the funding is in a separate section "which includes $230mil for 'acquisition and deployment of border security technologies'."
However, the bill appears to prohibit funding specifically for improving "border control processing."
At the same time, $410 million is allocated for "enhanced border security" in the countries of Egypt, Jordan, Lebanon, Oman, and Tunisia.
A whopping $575 million is assigned to "family planning/reproductive health" in areas where "population growth threatens bio-diversity or endangered species."
A federal building in San Francisco, California, will be "known and designated as the 'Speaker Nancy Pelosi Federal Building'," while in Georgia, Representative Hank Johnson (D-Ga.) requested $3.6 million for a "Michelle Obama Trail."
Former DNC Chair Debbie Wasserman Schultz (D-Fla.) needs $1.4 million for an electric bus charging facility.
Jerry Nadler (D-N.Y.), chair of the House Judiciary Committee, will receive $3 million for an "American LGBTQ Museum" and $750,000 to update the fire alarm system at the Metropolitan Opera.
Up to $200 million will be made available for the "gender equity and equality action fund," which can also be made available to "promote democracy" and "gender programs in Pakistan."
$335 million has been allocated for a possible influenza outbreak, which includes vaccines as well as "surveillance tools."
The Senate.Gov site boasts other spending, more broadly speaking: $5 billion for the "Low Income Home Energy Assistance Program," $700 million toward "combatting violence against women," and $8 billion for the "Child Care and Development Block Grant."
Nutritional programs will see nearly $48 billion to help provide assistance for women and children, with $47.5 billion also going to the National Institutes of Health and another $9.2 billion to the Centers for Disease Control and Prevention.
Legislators say the bill will "provide relief to American families" from cost of living and inflation, while helping "put food on the table" and "make rent and mortgage payments."

Hunter Biden adds DC lawyer Abbe Lowell to legal team as probes await
First son Hunter Biden has added a high-profile Washington defense attorney whose client roster includes a who’s-who of embattled politicians to his legal team as House Republicans plan to launch investigations into his overseas business interests as soon as next month.
Abbe Lowell will be responsible for coordinating the 52-year-old Hunter’s defense during the congressional probes that will begin after Republicans take over the House in the new year.
“Hunter Biden has retained Abbe Lowell to help advise him and be part of his legal team to address the challenges he is facing,” Kevin Morris — another Hunter Biden lawyer — told NBC News, which first reported on Lowell’s retention.
“Lowell is a well-known Washington-based attorney who has represented numerous public officials and high-profile people in DOJ investigations and trials as well as congressional investigations,” Morris added. “Mr. Lowell will handle congressional investigations and general strategic advice.”
Lowell, 70, served as chief minority counsel in the House of Representatives during the impeachment proceedings against President Bill Clinton in the late 1990s. He also successfully defended prominent Democrats John Edwards and Sen. Bob Menendez (D-NJ) from federal corruption charges in 2012 and 2017, respectively.
During the Trump administration, Lowell represented Ivanka Trump and her husband, Jared Kushner, during the Russia collusion investigations by Congress and the FBI.
Most recently, Lowell was the main lawyer for Tom Barrack, a President Donald Trump supporter and fundraiser, who was found not guilty last month by a Brooklyn federal jury on charges he unlawfully acted as a foreign agent.
Republicans, who won a narrow House majority in last month’s midterm elections, have put Hunter Biden’s business dealings squarely in their sights.
Rep. James Comer (R-Ky.), the incoming chair of the House Oversight Committee, and Rep. Jim Jordan (R-Ohio), who will head up the House Judiciary Committee, have said their panels will investigate whether the first son’s business dealings put the nation’s security at risk and whether President Biden was benefiting from the relationships.
“Our investigation is about Joe Biden,” Comer told reporters last month as he previewed the probes. “Was Joe Biden directly involved with Hunter Biden’s business deals and is he compromised? That’s our investigation.”
“We’re not trying to prove Hunter Biden is a bad actor,” Comer added. “He is.”
The Post first exposed Hunter Biden’s business interests in China and Ukraine in a series of reports beginning in October 2020 based on emails and documents found in a laptop the first son abandoned at a Delaware computer repair store the year before.
The blockbuster reports gave Republicans the ammunition needed to pursue investigations into Hunter Biden and his family, but they were also the subject of censorship by Twitter and other social media platforms at the behest of the FBI.
Elon Musk, the billionaire owner of Twitter, has been releasing installments of the so-called “Twitter Files” since Dec. 2 that revealed the behind-the-scenes deliberations taking place among the tech company’s top executives to block The Post’s reporting.
On Monday, journalist Michael Shellenberger revealed that the FBI pushed Twitter to suppress The Post’s reporting because it could be part of a Russian effort to discredit then-candidate Biden in the weeks before the 2020 election.
The first installment of the “Twitter Files,” based on reporting from journalist Matt Taibbi, showed that a group of top executives decided to censor The Post’s Hunter Biden expose without telling then-Twitter CEO Jack Dorsey.
The group of execs used the rationale that the reporting violated the platform’s “hacked materials” policy.
“Hacking was the excuse, but within a few hours, pretty much everyone realized that wasn’t going to hold. But no one had the guts to reverse it,” a former employee told Taibbi.
The Biden White House has dismissed the upcoming Republican investigations as “politically motivated attacks chock full of long-debunked conspiracy theories.”
“President Biden is not going to let these political attacks distract him from focusing on Americans’ priorities, and we hope congressional Republicans will join us in tackling them instead of wasting time and resources on political revenge,” a White House spokesman has said.

Canadian Border Agency Using China Tech Banned in USA Over Security Concerns
The Canadian Border Services Agency (CBSA) has been using a Chinese communications technology for years that has been banned by the United States on national security grounds.
The CBSA has been using technology developed by the Chinese company Hytera Communications for around five and a half years, tech banned by the United Stations over spying fears earlier this year.
Public Safety Minister Marco Mendicino, a member of Prime Minister Justin Trudeau’s cabinet, has stated that he will launch a review of the technology after it was brought to his attention by Canadian broadcaster CBC, which reported on the issue on Tuesday.
“I have instructed my department to do a portfolio-wide scan and review of any other potential similar contracts which may have been awarded, so that we can take whatever steps are necessary to mitigate any against any risks that may exist,” Minister Medicine said this week, adding, “That will apply right across all departments, including the CBSA.”
The review comes after the United States banned the import and sale of products belonging to several other Chinese communication firms over national security fears including, Huawei, ZTE, Hikvision and Dahua.
U.S. Federal Communications Commission (FCC) chair Jessica Rosenworcel released a statement in November on the matter saying, “The FCC is committed to protecting our national security by ensuring that untrustworthy communications equipment is not authorised for use within our borders.”
“These new rules are an important part of our ongoing actions to protect the American people from national security threats involving telecommunications,” she said.
The Canadian company Canquest supplied the Hytera products to the CBSA, which consisted of digital mobile radios and radio communications infrastructure in the Niagara region, along the border with the state of New York.
While three of the four points of entry in Niagara no longer use Hytera products, the Peace Bridge, remains using the products until they are scheduled to change in March of next year.
The CBC report comes after several other recent reports in Canada regarding alleged Chinese interference within Canada’s borders.
Reports of Chinese police stations operating in Canada were reported in October by the human rights group Safeguard Defenders, which claimed similar police stations operated in a variety of other western countries, including the USA and the UK.
The Royal Canadian Mounted Police (RCMP) stated they took the allegations seriously, Chinese officials claimed the offices were used to renew Chinese government documents, such as identification and driver’s licenses, while Safeguard Defenders claimed the stations were used to pressure Chinese nationals to return home to face criminal prosecution.
Just weeks later another report claimed that the Chinese Communist Party (CCP) had directly tried to influence the 2019 Canadian federal election and had funnelled money to at least eleven candidates, with Canadian media claiming that Prime Minister Trudeau had been briefed on the matter by the Canadian Security Intelligence Service (CSIS).
Trudeau, however, dismissed the media claims, saying that CSIS had not presented him with a report on Chinese election interference. “Let me be clear, I do not have any information, nor have I been briefed on any federal candidates receiving any money from China,” Trudeau said.

‘Non-Binary’ Artist Arrested By Undercover FBI Agent After Allegedly Trying To Rape 9-Year-Old Boy
A “non-binary queer” artist was recently arrested for allegedly trying to rape a 9-year-old boy after a series of conversations with undercover FBI agents.
According to the Department of Justice, the accused, Efrem Zelony-Mindell, allegedly started communicating on an encrypted messaging site and “repeatedly expressed, in graphic and unambiguous terms, his desire to engage in sexual activity with minor children.” The defendant is also accused of sending an undercover agent “numerous images and videos containing child pornography.”
A short time later, Zelony-Mindell communicated with another undercover agent posing as the father of a nine-year-old boy.
Zelony-Mindell allegedly “made clear that he was interested in having sex with the nine-year-old child,” a DOJ press release said.
The DOJ further claimed the defendant “made clear that he wanted to engage in sexual activity, including specifically anal sex” with the undercover agent’s purported son. The agent told Zelony-Mindell that his boy would be “knocked out a little bit” from sleep medicine, and the defendant allegedly “agreed to have sex with the drugged child,” according to federal authorities.
The agent and defendant arranged to meet on a street corner in New York City on Friday, the DOJ said, and planned to go to an apartment where Zelony-Mindell “would then engage in sexual activity with the child.”
A third undercover agent arrested Zelony-Mindell at the agreed-upon location in lower Manhattan.
“The protection of children from predation remains of critical importance to this Office, and we will continue to use our resources and work with our law enforcement partners to bring offenders to justice,” U.S. Attorney Damian Williams said in a statement.
The act of engaging in sexual intercourse with someone who is not able to consent is considered statutory rape.
FBI Assistant Director Michael J. Driscoll called the defendant’s actions “nearly unfathomable.”
“Today’s action should serve as a reminder to anyone who seeks to prey on children – the FBI Human Trafficking and Child Exploitation Task Force and our law enforcement partners will continue to aggressively pursue you and hold you accountable,” Driscoll added.
