Paramount reaches deal with California, other states over Warner merger

Paramount reached an agreement with 12 states over its planned 110 billion dollar merger with Warner Bros Discovery. The agreement includes promises about movie production, news operations, workers, and cable channels. The settlement clears a major legal challenge, but some Hollywood groups still oppose the merger.
Facts:
Paramount and Warner Bros Discovery agreed to a settlement with 12 states.
The merger is valued at 110 billion dollars.
The combined company would include Paramount, Warner Bros, Paramount Plus, HBO Max, CBS News, and CNN.
The company agreed to release at least 30 films each year for the first two years and 32 films each year for the next three years.
The company agreed to invest more than 1 billion dollars in US production and film releases.
Independent editorial boards would oversee CNN and CBS News.
Paramount agreed to protect certain CBS News writing jobs for five years and pay 17.5 million dollars to a writers health fund.
The company agreed to pay 30 million dollars for each missed film target.
The company agreed to put 47.5 million dollars into a worker training and career development fund.
The merged company must negotiate Paramount basic cable channels separately from Warner basic cable channels.
The Justice Department had already approved the merger in June.
The European Commission approved the deal with conditions in July.
AMC Theatres and Regal Cinemas support the merger.
Many actors, writers, and producers oppose the merger.
SAG AFTRA said the settlement addresses some concerns about production and investment.
The Writers Guild of America still opposes the merger.
Paramount said the merger is lawful and would increase competition and benefit consumers and workers.

Boston federal judge sides with Tufts after they fired Christian ER doc for refusing to get the COVID jab
BOSTON — Tufts Medical Center was within its rights to fire a Christian emergency room doctor of 29 years for refusing to get the COVID jab, a Boston federal judge has ruled.
Even the judge conceded that the science on the vaccine "may have evolved."
Dr. Theresa Gabana, 61, was hustled out the door on Dec. 5, 2021, after nearly three decades in the Tufts emergency room.
Her sin, per court records: she told the hospital her Christian faith would not let her take a shot developed with, or tested upon, aborted human fetal cell lines.
Tufts's Exemption Committee said no.
Gabana appealed.
They said no again.
She was gone by Christmas.
She sued in October 2024, seeking at least $6 million and citing religious discrimination under Title VII and Massachusetts state law.
The case was moved from state to federal court.
Senior US District Judge Nathaniel M. Gorton, a George H.W. Bush appointee on the Boston federal bench since 1992, granted Tufts's motions for summary judgment and to strike parts of her affidavit on Sept. 15.
Universal Hub first reported the ruling.
"The Court is sympathetic to Plaintiff's position," Gorton wrote in his 15-page ruling. "She faced a difficult choice between her sincerely held beliefs and her livelihood."
Then he ruled against her.
Gorton found Tufts had cleared the "undue hardship" bar.
Dr. Gabana's job was to see patients: sew up wounds, drain abscesses, staple scalp lacerations, splint fractures.
She could not do that if she would not take the jab.
Her offer to keep working masked and gloved, as she had done throughout 2020 and the first half of 2021, was "unavailing as a matter of law," per the judge.
Then came the twist.
"The developing understanding of COVID-19, including what has since been learned about possible adverse effects and limitations of the vaccine, may cast doubt on Tufts Medical's decision in retrospect," Gorton wrote.
But he ruled that Title VII law forced him to weigh the situation as it stood in August 2021, "rather than their appearance in hindsight."
"That the science may have evolved does not render the contemporaneous judgment of Tufts Medical unreasonable," Gorton wrote. "The Hospital was operating under significant uncertainty, facing a surge in patient demand, acute staffing pressure and reliance on the then-best available public health guidance."
The court also struck a section of Gabana's own affidavit that cited an August 2021 news article quoting then-CDC director Rochelle Walensky acknowledging that vaccinated people could still transmit COVID-19.
Gorton ruled the reference was hearsay because a news article is not an official CDC record.
Gabana is not alone.
She is one of at least five Massachusetts hospital workers whose religious discrimination suits over COVID vaccine firings have been kicked by federal judges in this state.
It's a pattern that has held even through the Supreme Court's 2023 Groff v. DeJoy decision, which was supposed to raise the bar employers must clear to deny religious accommodations.
In a footnote, Gorton cited four other Massachusetts federal rulings that landed the same way: Munroe v. Boston Medical Center, Cyr v. Boston Medical Center, Lavine v. Mass General Brigham, and Anastos v. Boston Medical Center, all decided in 2025.
Gabana's attorney, Richard Chambers of Lynnfield, has been on the losing end of a string of Massachusetts COVID-era lawsuits.
Those include cases against hospital vaccine mandates, Boston's brief 2022 requirement to show vaccination proof to enter indoor public spaces, and North End restaurant pandemic-era fee cases.
