GateHouse Media will buy Gannett Co. Inc., USA Today reported on Monday afternoon. USA Today is the flagship newspaper for Gannett, which also owns the Press-Citizen and Des Moines Register. The two companies agreed to a “cash-and-stock deal worth about $1.38 billion and financed in part with new private-equity debt,” according to USA Today.

GateHouse is the largest owner of daily newspapers in the country with 156 dailies, mostly in small markets, as well as 328 weeklies. Gannett, which owns 109 daily papers across the country, has the largest circulation of any American newspaper chain. Between them, the two companies publish one out of every six daily newspapers in the country, with a combined daily print circulation of approximately 8.7 million.

The combined holdings of the merged companies will create a concentration of media control unprecedented in American history.

“We believe this transaction will create value for our shareholders, greater opportunities for our employees, and a stronger future for journalism,”Mike Reed, CEO of GateHouse’s parent company, New Media Investment Group, said in a statement

The two companies estimate they “can save $275 million to $300 million in annual costs within 24 months,” according to USA Today.

GateHouse is a holding company for New Media Investment Group, which is controlled by Fortress Investment Group, a New York City-based investment management firm.Fortress is owned by SoftBank, a Japanese holding company, best known for its ownership stakes in tech companies.It has spent more than $1 billion since 2014 to acquire newspaper groups in small markets. In Iowa, it currently owns two daily newspapers (the Ames Tribune and The Hawk Eye in Burlington) and five weeklies (the Boone News-Republican, Dallas County News, Hamburg Reporter, Nevada Journal and Perry Chief).

The Register and the Press-Citizen are the only Iowa newspapers Gannett owns.

GateHouse has pursued an aggressive strategy of consolidation with the newspapers it owns. The most recent example occurred in May, when GateHouse consolidated 50 Massachusetts newspapers into just 18. A leaked memo from GateHouse executives said “this consolidation will reduce production expenses and represents a necessary next step in our evolution, while creating a stronger product for both our subscribers and advertisers.”

In his Monday statement on the purchase agreement, Reed said, “We believe this transaction will create value for our shareholders, greater opportunities for our employees, and a stronger future for journalism.”

The agreement calls for GateHouse/New Media shareholders to control 50.5 percent of the merged company, while Gannett shareholders will own 49.5 percent.

Last month, the New York Post reported that three private equity firms that have ownership stakes in both Gannett and New Media were pushing for the deal to be completed. “Private equity firm Blackrock holds a 14.64-percent stake in each company,” according to the Post. “Vanguard Group holds 11.64 percent of Gannett and 10.09 of New Media; while Dimensional Fund Advisors holds 8.23 percent of Gannett and 7.33 percent of New Media.”

The Post said at the time that one of the biggest remaining obstacles to the deal “involves GateHouse/New Media’s assumption of Gannett’s costly pension liabilities.”

President-elect Donald Trump announced that he plans to sue the Des Moines Register over Ann Selzer's Iowa election poll in the homestretch of the 2024 election.

Trump described the poll as "election interference."

Selzer's final poll showed Vice President Kamala Harris up by 3 points. Trump ultimately won the state with 56% of the vote compared to 42.7% for Harris.

In a recent interview, Selzer rejected the criticism of her poll.

"Let's deal with the allegations because I am mystified about what the motivation anybody thinks I had and would act on in such a public poll. I don't understand it. White Hats Suspect Drone Swarms are DARPA Activity

White Hats have reason to believe the packs of mysterious, SUV-size drones buzzing the skies of New Jersey may be Deep State “Holo-drones” that DARPA created for its sinister Project Bluebeam, which projects sophisticated holographic images in the air.

He spun a compelling but unverified story, claiming DARPA expanded massively under the Biden regime and had advanced technology bases scattered throughout the United States and Western and Eastern Europe, including in Ukraine. However, he could not provide precise locations. What he knew purportedly stems from a meeting he and other scientists had with DARPA program manager Michael Mulqueen, the Agency’s Tactical Technology Office boss, in July. Our source said that computer-drawn sketches of such a drone, which, in theory, could not only project holograms but also, via holographic emitters, render itself invisible or alter its appearance, were the foundation of Donaldson’s assumption.

“We’re talking Star Trek stuff. We might not have transporters yet, but complex holography is a reality, it seems. As Donaldson tells it, the drone, for example, can project something as large as a 747 or even the moon or hide itself inside a wisp of holographic clouds. What Donaldson says, and he’s had no access to current events, does somewhat match up with the sightings,” our source said.

Mass sightings of swarms of drones have occurred above the skies of New Jersey and other Northeast states over the last month. Skygazers have observed said drones performing non-ballistic aerial acrobatics—rapid ascents and descents and instantaneous 90-degree turns. Often, the drones have FAA-compliant lights, but spectators—including chase planes and helicopters—have seen the lights wink out and the drones vanish without a trace when approached or lengthily observed.

Donaldson’s explanation: Only a handful of drones are actually in the sky, and their holographic emitters are nefariously creating the illusion that dozens, hundreds, and thousands of drones are hovering above homes, Trump’s Bedminster estate, and military installations.

“Donaldson says maybe ten or 12 drones are out there, and holography is the reason so many just vanish all of a sudden. Is it possible? We think so, but we can’t know for sure unless we get our hands on one,” our source said.

Asked whether White Hats had considered other possibilities, such as New Jersey Congressman Jeff Van Drew’s claim that an Iranian “mothership” anchored off the Eastern seaboard was launching drones to gather intelligence on US defenses, our source said, “It’s laughable. Just using the word “mothership” to describe a boat is incongruous and misinformative. If there was an Iranian boat there, we could easily see it and sink it. Now we must investigate Van Drew, because if he’s intentionally spreading disinformation, propaganda, that’s a treasonable offense.”

Blink-182 guitarist and UFO enthusiast Tom DeLonge has offered his theories on the mysterious “drone” sightings in New Jersey.

Over the past few weeks, New Jersey residents have been scratching their heads and looking skyward as reports of unusual drone activity have flooded in.

Described as larger than your average hobbyist drone — some even the size of SUVs — the drones have been spotted near sensitive sites like military bases and high-profile properties.

This has led to a flurry of theories ranging from benign explanations to more alarming speculations about foreign surveillance or even extraterrestrial activity.

In a new Instagram post, DeLonge shares his thoughts on the strange sightings, noting how the “drones that are being discussed can hover for six hours, and then disappear once they are spotted.”

“This is why it’s been hard to get facts from any US Agency. Some of them can even move into the ocean, and then back up to the air. Which is called ‘transmedium travel.’ A very hard thing to do.”

DeLonge, who made his directorial debut with the UFO conspiracy film Monsters of California last year, also compares the recent sightings to mass UFO reports from the 60s, writing: “It seems like it’s a repeat of exactly what happened in the ‘60s.”

Mysterious Drone Sightings Across US Linked To Project Blue Beam Conspiracy Theory

A host of conspiracy theories have emerged as mysterious drones are spotted in various parts of the US.

The sightings first began in November near Morris County, New Jersey but have since spread to Massachusetts, Virginia, Pennsylvania and New York among other states.

While the Federal Bureau of Investigation (FBI) and the US government term these sightings as non-threatening, social media users have connected the spotting to the decades-old conspiracy theory called Project Blue Beam.

Proposed by Canadian journalist Serge Monast in the 1990s, Project Blue Beam alleges that the global elites' are planning to stage fake supernatural events or alien invasions in a covert operation to establish a totalitarian world government.

Those adhering to the conspiracy believe that advanced holographic technology would be used to project images of religious figures or extraterrestrial invasions in the sky.

The theory also posits that the entire exercise is aimed at manipulating human thoughts which creates the illusion of direct communication with deities to justify authoritarian control.

Right-wing conspiracy theorist Alex Jones, infamous for his comments on the Sandy Hook shooting, posted about Project Blue Beam by sharing an interview with ufologist Steven Greer about "how Project Blue Beam will be used."

Trump reacts to sightings

President-elect Donald Trump recently chimed in on the issue by suggesting that the mysterious drones should be shot down promptly.

"Mystery Drone sightings all over the Country. Can this really be happening without our government's knowledge?

I don't think so," Mr Trump said in a post on Truth Social, a social media platform owned by him.

"Let the public know, and now. Otherwise, shoot them down!!! DJT," he added.
