Elon Musk notifies Twitter he is terminating deal

Billionaire Elon Musk wants to end his $44 billion deal to buy Twitter, according to a letter sent by a lawyer on his behalf to the company’s chief legal officer Friday.

Twitter shares were down about 5% after hours on Friday.

In the letter, disclosed in a Securities and Exchange Commission filing, Skadden Arps attorney Mike Ringler charged that “Twitter has not complied with its contractual obligations.”

Ringler claimed that Twitter did not provide Musk with relevant business information he requested, as Ringler said the contract would require. Musk has previously said he wanted to assess Twitter’s claims that about 5% of its monetizable daily active users (mDAUs) are spam accounts.

“Twitter has failed or refused to provide this information,” Ringler claimed. “Sometimes Twitter has ignored Mr. Musk’s requests, sometimes it has rejected them for reasons that appear to be unjustified, and sometimes it has claimed to comply while giving Mr. Musk incomplete or unusable information.”

Ringler also charged in the letter that Twitter breached the merger agreement because it allegedly contains “materially inaccurate representations.” This accusation is based on Musk’s own preliminary review of spam accounts on Twitter’s platform. Twitter has said it’s not possible to calculate spam accounts from solely public information and that a team of experts conducts a review to reach the 5% figure.

“While this analysis remains ongoing, all indications suggest that several of Twitter’s public disclosures regarding its mDAUs are either false or materially misleading,” Ringer alleged.

He also claimed Twitter breached its obligations under the agreement to get Musk’s consent before changing its ordinary course of business, pointing to recent layoffs at the company.

While Musk is now officially seeking to walk away from the deal, this saga is likely far from over.

Under the terms of the agreement, Musk agreed to pay $1 billion if he backs out. But Twitter could still seek to hold Musk to his original deal or get a bigger payout by suing him for walking away if they dispute that his reasoning should let him out of the contract.

Twitter did not immediately respond to a request for comment.

US Appeals Court rules Trump financial records must be turned over to House Oversight Committee

The U.S. Court of Appeals for the D.C. Circuit ruled Friday that former President Donald Trump's accounting firm, Mazars USA LLP, must turn over some financial records pertaining to the time period surrounding his 2016 election, as well as his time in the White House, to the Democrat-controlled House Oversight Committee.

The court largely upheld a congressional subpoena for the records, meaning the committee can now obtain documents related to allegations that Trump may have broken the Constitution's "emoluments" clause, which would have prevented him from accepting payments from foreign governments without approval from Congress, or violated other financial disclosure laws.

A dark money nonprofit associated with Senate Majority Leader Chuck Schumer topped $100 million in secretive donations for the first time as the New York politician publicly crusaded against dark money's influence in Washington, tax documents show.

Majority Forward, a nonprofit that obscures its funders and is linked to the Schumer-aligned Senate Majority PAC, pulled in $104.7 million between July 1, 2020, and June 30, 2021, according to its most recent tax forms. The latest cash haul was a $13 million increase over its previous calendar year.

The record year came as Schumer and other Democrats railed against dark money even as they continued to outpace Republicans in its use. Majority Forward, in turn, used its shadowy war chest to steer substantial amounts into electoral activity and bankroll voter engagement efforts.

White House Unveils $400M More In Military Aid To Ukraine, Marking 15th Package

"Heavy artillery platforms, like howitzers and High Mobility Artillery Rocket Systems, or HIMARS, sit high on Ukrainian military wish lists," CNBC writes, citing the source. "The official said the latest security package will include four additional HIMARS, which brings the total number of HIMARS transfers to Ukraine from U.S. arsenals to 12."

The total in US military and humanitarian aid so more is more than $7 billion given since February.

The longer-range HIMARS are being sought by the Zelensky government as potentially game-changing given they allow the Ukrainians for the first time to strike Russian military stockpiles and command centers that extend deeper behind enemy lines.

Axios details of some of the major US-supplied currently operational in eastern Ukraine after the several rounds of weapons systems were transferred, and as Ukrainian troops get trained on them:

A senior defense official said the other eight systems are all operational, and that the pace of deliveries was dictated by the rate at which Ukrainian units are being trained to use the systems, which were not previously part of the Ukrainian arsenal.

The U.S. is also sending three tactical vehicles, spare parts and other equipment. The official would not say what type of artillery ammunition was being provided, only that it would allow for more precise targeting than had previously been possible.

At the same time, Americans are now flatly being told by the Biden administration that "we are in a time of war…" In a hard-hitting interview which put Biden official Heather Boushey on the defensive, she actually suggested the US is at war with Russia in Ukraine. Interestingly enough this comes a couple months after Biden admin and defense officials insisted it's not a proxy war. Well, which is it?

Heavily armed police on Friday swarmed around the Capitol Hill rowhouse where former Trump White House adviser Stephen K. Bannon lives after receiving a false report that a man with a gun was inside and had shot someone, according to authorities.

Police shut down streets near the Supreme Court and the Capitol for about one hour, prompting fears of an active shooter. About 12:30 p.m., police reopened the streets after determining that there was no shooting, no weapon, no threat and no victim.

Police initially told The Washington Post that they had encountered a person who claimed to be armed and who appeared to be suffering from a mental health crisis, but they found no gun and no one injured. A D.C. police spokeswoman later said someone had called a crisis hotline and reported that a man inside the rowhouse in the 200 block of A Street NE had shot someone and had a firearm.

On that day, immediately after the first aircraft, the North Tower Plane, crashed into the World Trade Center, a resident of Bergen County, New Jersey, justacross the Hudson River from lower Manhattan, became alarmed when she saw a group of men celebrating “on the roof of a white van in the parking lot of her apartment building.”77 She wrote down the license number of the van and called the police. The police were told that the men were “posing, dancing and laughing against the background”78 of the disaster, which could be plainly seen across the river. The men were “smiling and exchanging high-fives.”79 An FBI alert was promptly issued:

“Vehicle possibly related to New York terrorist attack. White, 2000 Chevrolet van80 with New Jersey registration with ‘Urban Moving Systems’ sign on back seen . . . at the time of first impact of jetliner into World Trade Center. Three individuals with van were seen celebrating after initial impact and subsequent explosion. FBI Newark Field Office requests that, if the van is located, hold for prints and detain individuals.”81

The men were five Israeli citizens, Sivan Kurzberg (the driver of the van), Paul Kurzberg, Yaron Shmuel, Oded Ellner and Omer Marmari. The van was finally stopped in East Rutherford, New Jersey at 3:56 P.M. The driver and passengers were arrested by Sergeant Rivelli and Officers DeCarlo and Yannacone of the East Rutherford Police Department.

The local police were soon joined by other law enforcement authorities. Sivan Kurzberg was asked several times to come out of the van but, fumbling with a black leather pouch, refused to do so. Officer DeCarlo then forcibly removed him. The FBI agents who arrived on the scene or were otherwise involved included Kevin Donovan, Daniel O’Brien and Robert F. Taylor, Jr. The FBI ultimately took control of the individuals, the evidence in the van, and the investigation.

Sources close to the investigation said they found in the van “maps of the city . . . with certain places highlighted,” adding that “it looked like . . . they knew what was going to happen.”82

Yaron Shmuel lied to the police as to where the men were at the time of the World Trade Center attacks, saying that they were on the West Side Highway in New York (not celebrating across the Hudson in New Jersey). He gave his address as 1345 Drexel Avenue in Miami Beach, Florida (not far from Hollywood). Mr. Ellner was carrying $4,700 in a sock-like sack. Sivan Kurzberg told the police at the time of his arrest –

“We are Israeli. We are not your problem. Your problems are [now?] our problems. The Palestinians are the problem.”83

All of the men were handcuffed, placed on the grass and given Miranda warnings. A sixth member of the Group, Dominik Suter of Fair Lawn, New Jersey, also an Israeli national and the owner of Urban Moving, was later questioned by the FBI at the company’s offices in Weehawken. The FBI searched Urban Moving’s premises for several hours, and removed boxes of documents and a dozen computer hard drives.84

Bring On The Lawsuits: Elon Musk Terminates Deal To Buy Twitter

Many were wondering how the Musk-Twitter takeover saga ends, or rather, who will be the first to sue.

Late on Friday, Elon Musk decided to resolve the debate by effectively breaching his contract signed three months ago, and making a Delaware lawsuit inevitable, by announcing in a 13D filing that he is terminating his Twitter merger agreement, and claiming that "Twitter is in material breach of multiple provisions of that Agreement, appears to have made false and misleading representations upon which Mr. Musk relied when entering into the Merger Agreement, and is likely to suffer a Company Material Adverse Effect."

Of course, none of that will stick as Elon waived all rights to rework the deal when he signed the purchase agreement on April 25, and now it will be up to either i) a judge to impose the original deal, an outcome which will likely take place after several years of lawsuits or ii) to renegotiate the purchase price lower.
