The later. N64 emulation is a nightmare that not even the official Nintendo emulators are able to pull off perfectly. They sure as hell aren't going to try and make a mini console like the S/NES ones since it would need way too much R&D to make it work, higher tech specs making it more expensive, and it would likely suffer from marketability issues compared to the previous two.
There will never be an N64 Classic.

You can anon, I have one, lemme just list out a few that are able to be emulated just to display how incompetent Ninty have been compared to a bunch of free lance modders doing this in their spare time in regards to emulation.

>SNES
>N64 (performance is iffy on a game by game basis but to my knowledge most games are great running wise)
>Gameboy
>GBA
>All the sega shit, except DC, while it does work it's still very WIP
And that's just in the standard OS, you can get Ubuntu or another Linux OS on it and Gamecube emulation is currently being worked on, hell with android coming you'll be able to play DS games well. It's a damn power house

From what I understand, it's because they don't want to push out indies. Old Nintendo games will take from the same audience and if there were a virtual console, the indie devs would be better off focusing on the PS4 and Steam.
So Nintendo loses some revenue in exchange for better relationships with game makers.
