Basically it's a good old blackmail you either take a severance package with such a clause in it (it's not forever 5 years is already reaching it) or you go for a non-amicable employment contract break.
One hand you get some money, most of your pension and some freedom.
On the other hand you get nothing and wait for a final judicial decision on your case at a risk of gaining nothing (which will take years maybe decades and will cost you and the company money in lawyers. And at that game a company always has more money. In fact they already pay money to lawyers every year so it's only some added fee), oh and you will get a gag order (can't speak of case until judged) and it will mark you forever as toxic, since you're a guy that doesn't play ball when fired. Both of which combine will have the exact same result as a non-compete agreement (if not worse).
